Terms and Conditions
Effective date: October 6, 2026
These Terms and Conditions (the "Terms") are a legal agreement between you and PAYCORE TECHNOLOGY CO., LTD, a corporation incorporated under the Canada Business Corporations Act, registered with FINTRAC (Financial Transactions and Reports Analysis Centre of Canada) as a money services business. We do business as Moneyspace. In these Terms, "we", "us" and "our" mean PAYCORE TECHNOLOGY CO., LTD.
Please read these Terms carefully. They explain what we do and do not do, what you can expect from us, what we expect from you, and the risks involved. By creating an account or using our services, you agree to these Terms. If you do not agree, do not use our services.
1. Summary
This summary is for convenience only. The full Terms below apply.
- What we offer. USD and EUR account details and bank payouts provided through our partner Bridge, wallets for USDT on the Tron, Ethereum, BNB Smart Chain and Optimism networks and USDC on Ethereum, Base, Arbitrum, Optimism, Polygon and Avalanche, exchange between your balances, and team access with roles.
- How your money is held. Money you receive in USD or EUR is converted into stablecoins (USDC or EURC) and held by us. Your balance is what we owe you. It is not a bank deposit and it is not covered by CDIC, FDIC or any other deposit insurance.
- Verification. USD and EUR services require identity verification through Bridge. Crypto wallets currently work without verification, but we can require verification at any time.
- Fees. Our fees are in our price list and are shown in the app before every operation.
- Crypto transfers are final. If you send digital assets to the wrong address or over the wrong network, they will probably be lost.
- Problems. Contact support@moneyspace.io. Our complaints procedure is in the Consumer Protection Policy.
2. Definitions
- Account means your Moneyspace account, which you access with your sign-in email address. One account can hold one or more profiles.
- Profile means a personal profile (for you as an individual) or a business profile (for a business you are authorised to represent). Each profile has its own balances, verification, limits and transaction history.
- App means our web application at https://app.moneyspace.io and any other application we make available.
- Balance means the amount in a particular currency or digital asset that we record in our ledger as owed to you.
- Bridge means the company in the Bridge group (bridge.xyz) that provides services to you based on where you live, together with its affiliates and banking partners.
- Business Day means Monday to Friday, except public holidays in Canada. Banks and payment systems in other countries have their own business days, which can affect timing.
- Crypto Services means the wallet, deposit and withdrawal services for supported digital assets described in section 8, and exchange between your Stablecoin Balances.
- Digital Asset means a cryptographic token recorded on a blockchain, including stablecoins.
- Fiat Services means the USD and EUR services described in section 7.
- Price List means our current list of fees and limits, published at https://moneyspace.io/en/#pricing.
- Services means everything we provide under these Terms, through our website, the App, email and any other channel.
- Stablecoin means a Digital Asset designed to keep a stable value against a currency, such as USDC and USDT (US dollar) or EURC (euro).
- Supported Network means a blockchain network that we support for a particular Digital Asset, as shown in the App.
- Team Member means a person you invite to your Account under section 11.
3. Our documents
These Terms include, by reference, the following documents, which you should also read:
- Prohibited Jurisdictions and Activities;
- Privacy Policy and Cookie Policy;
- Electronic Communications and E-Sign Consent;
- Consumer Protection Policy and Fraud and Security Policy;
- the Price List and any fee, rate or limit shown to you in the App.
If one of these documents conflicts with these Terms, these Terms apply, except that a fee or rate shown to you in the App when you confirm an operation applies to that operation.
4. Eligibility
You may use our Services only if all of the following are true:
- if you are an individual, you are at least 18 years old and have reached the age of majority where you live, and you have full legal capacity to enter into this agreement;
- if you are a business, you are properly incorporated or registered and in good standing, and the person accepting these Terms on your behalf is authorised to bind you;
- you do not live in, and your business is not incorporated in or operated from, a jurisdiction listed as prohibited in our Prohibited Jurisdictions and Activities policy;
- you are not a person subject to sanctions, and you are not owned or controlled by, or acting for, such a person;
- you use the Services only for yourself or for a business you are authorised to represent, and never on behalf of anyone else;
- we have not previously closed an account of yours for breach of our terms.
Some Services, or parts of them, are not available in every country. We may decide which Services to offer in which places.
5. Opening your account and verification
5.1 Signing up
You open an account with an email address. We do not use passwords: each time you sign in, we send a one-time code to your email address. You can (and we recommend that you) add two-factor authentication with an authenticator app. We may require two-factor authentication for some actions, such as payouts, withdrawals and changes to security settings.
5.2 Information you give us
You must give us complete, accurate and current information and keep it up to date. You must tell us promptly if your name, address, citizenship, residence, business details, ownership or control change.
5.3 Verification for USD and EUR services
Before you can use the Fiat Services, you must complete identity verification ("KYC") for a personal profile, or business verification ("KYB") for a business profile, including information about the business's owners, directors and controllers. Verification is carried out by Bridge and its identity verification provider, using pages that Bridge provides. As part of that process, Bridge will ask you to accept Bridge's own terms of service and privacy policy, which you can read at bridge.xyz/legal. Bridge decides whether to approve you for its services, and we cannot override that decision. Verification is done separately for each partner that provides a Service. If we add a partner or move a Service to another partner, you may need to accept that partner's terms and provide more information before you can use it.
5.4 Crypto Services without verification — for now
At the moment, you can use the Crypto Services without completing verification. This may change at any time and without advance notice. We may at any time ask you to verify your identity, your business, the source of your funds or the purpose of a transaction, including before processing a particular deposit, withdrawal or exchange. Until you provide what we ask for, we may limit, pause or suspend some or all Services on any profile.
5.5 Additional information
Whether or not your profile is verified, we may ask you for further information and documents at any time, for example to meet our legal obligations, to investigate unusual activity or to review your limits. We may also verify your information using third-party sources. If you do not give us the information we reasonably request, we may refuse transactions, limit the Services or close your account.
5.6 Our right to refuse
We may refuse to open an account or profile, or to enable a Service, for any lawful reason. We may not always be able to tell you the reason.
6. How our Services work
6.1 What we are
We are a money services business registered in Canada. We are not a bank, we do not accept deposits, and we do not provide investment, securities, credit or lending services. We do not give financial, investment, legal or tax advice.
6.2 What your balance is
When we credit a Balance to you, we record in our ledger that we owe you that amount. Your Balances are not deposits with a bank and are not protected by the Canada Deposit Insurance Corporation (CDIC), the U.S. Federal Deposit Insurance Corporation (FDIC), or any other deposit insurance, investor protection or compensation scheme. We do not pay interest on Balances.
6.3 How we hold the assets behind your balance
We back customer Balances with Digital Assets that we hold in wallets that we control, some of which are operated with the help of third-party custody and wallet-infrastructure providers. Money received in USD and EUR reaches us as USDC and EURC, and crypto deposits reach us as the USDT or USDC sent. Because exchanges between your Balances are recorded in our ledger, the mix of assets we hold at any moment may differ from the mix of Balances we owe. These assets are held in pooled ("omnibus") wallets for many customers, not in a separate wallet in your name, and you do not have the private keys to them. We keep records that show the Balance owed to each customer.
6.4 Our partners
We provide the Fiat Services through Bridge, and we use a third-party custody provider to generate deposit addresses for the Crypto Services. These partners are independent companies. They have their own terms, and sometimes their rules or decisions (for example, about which countries or businesses they serve) will limit what we can offer you.
7. Fiat Services (USD and EUR)
7.1 Account details
Once your profile is approved for Fiat Services, we will show you account details for receiving money:
- USD: account and routing details for receiving ACH, wire and FedNow payments from banks;
- EUR: an IBAN for receiving SEPA transfers.
These details are issued by Bridge and its banking partners. They are not a bank account held by you with a bank, and you cannot use them to write cheques, take out cash or set up direct debits.
7.2 Receiving money
When money arrives at your account details, Bridge converts it into the matching Stablecoin (US dollars into USDC, euros into EURC) and delivers it to wallets we control. Once Bridge confirms the payment as processed, we credit your USD or EUR Balance with the amount the sender sent, less our deposit fee. Fees that Bridge charges us are our cost. Bridge or we may reject or return an incoming payment, for example if the sender's details do not match, if it comes from a prohibited jurisdiction or person, or if it breaches our policies. A returned payment may be reduced by fees charged by banks along the way.
7.3 Reversed deposits
Some payments can be reversed by the sending bank after they have been credited, for example an ACH payment that the sender reports as unauthorised. If a deposit we have credited to you is reversed, recalled or found to be fraudulent, we may deduct the amount from your Balance. If your Balance is not enough, you must repay the shortfall (see section 9.4).
7.4 Sending money to a bank account
You can send USD to bank accounts by ACH, wire or FedNow, and EUR by SEPA, to the extent available for your profile. When you confirm a payout, we deduct the amount and our fee from your Balance, deliver the corresponding Stablecoins to Bridge, and Bridge converts them and sends the money through the banking system. You are responsible for entering the correct recipient details. A payout sent to the wrong account because of details you gave us may not be recoverable; we will make reasonable efforts to help you recover it, and we may charge any costs of doing so.
7.5 Timing and how payments appear
We show estimated delivery times in the App. They are estimates, not guarantees: payment systems, banks, cut-off times, holidays, compliance checks and our partners can cause delays. The recipient's bank statement may show PAYCORE TECHNOLOGY CO., LTD, Moneyspace, Bridge or a bank used by Bridge as the sender. Banks that pass on or receive a wire transfer may deduct their own fees.
7.6 Currencies
We currently support USD and EUR. We may add other currencies later. We will tell you when a new currency becomes available and any terms that are specific to it.
8. Crypto Services
8.1 Supported assets and networks
We currently support USDT on the Tron (TRC20), Ethereum (ERC20), BNB Smart Chain (BEP20) and Optimism networks and USDC on the Ethereum (ERC20), Base, Arbitrum One, Optimism, Polygon and Avalanche C-Chain networks. On every one of these networks except Tron your deposit address is the same; that does not make an asset supported on a network where the App does not list it. The App shows the Supported Networks for each asset at any time. We may add or remove assets and networks. If we plan to stop supporting an asset or network, we will give you reasonable notice so that you can withdraw or exchange it, unless we must act faster for legal or security reasons.
8.2 Deposits
The App shows you a deposit address for each supported asset and network. Our custody provider generates these addresses. A deposit is credited to your Balance after it has received the number of network confirmations we require. We do not charge a fee for crypto deposits, but the sender pays the network fee.
8.3 Wrong assets and wrong networks
Send only the asset shown, over the network shown. If you, or anyone sending to you, send an unsupported token, a supported token over a different network, or a token to an address on the wrong network, the assets may be lost permanently. We are not obliged to try to recover them. If we decide to try, we may charge you the cost, and we cannot promise success.
8.4 Withdrawals
You can withdraw supported Stablecoins to an external address. Before you confirm, the App shows the amount, the network and the fee, which includes the network fee. You are solely responsible for the address and the network you choose and for making sure that the recipient's wallet supports that asset on that network.
8.5 Blockchain transactions are irreversible
Once a withdrawal is broadcast to the blockchain, it cannot be cancelled or reversed, by us or by anyone else. We cannot recover assets sent to a wrong or mistyped address, to a scammer, or to an address that cannot receive them.
8.6 Reviews and the "travel rule"
We may delay or refuse a deposit or withdrawal to review it, for example if it involves a high-risk address or appears unusual. Where the law requires, we may ask for information about the person you are sending to or receiving from, and we may share that information with the other service provider involved.
8.7 Freezes by issuers and networks
Stablecoin issuers can freeze tokens at specific addresses, and networks can be halted or changed. If assets sent to you or by you are frozen, blocked or lost because of the action of an issuer or network, we are not responsible, but we will work with you and the issuer to the extent reasonably possible.
8.8 Forks and airdrops
We do not support blockchain forks, airdrops or other tokens created or distributed in connection with a supported asset, unless we announce otherwise. We have no obligation to obtain or credit them to you.
9. Fees
9.1 Our fees
Our fees are set out in the Price List at https://moneyspace.io/en/#pricing and are shown in the App before you confirm each operation. We do not currently charge a fee for opening an account or a monthly fee. The fee shown to you when you confirm an operation is the fee that applies to it.
9.2 Changes to fees
We may change our fees. We will give you at least 30 days' notice by email or in the App before an increase in a fee or a new fee takes effect for you. We may reduce fees at any time without notice.
9.3 How fees are charged
We deduct fees from the amount of the operation or from your Balance in the same currency, as shown in the App. Fees charged by other parties, such as the sender's bank, intermediary banks or the recipient's bank, are not included in our fees unless we say so.
9.4 Negative balances
If your Balance becomes negative, for example because of a reversed deposit or an error, you must repay the shortfall immediately. We may recover it from any other Balance held by the same individual or business, after converting it at our current rate, and we may suspend Services until it is repaid.
9.5 Taxes
You are responsible for any taxes that apply to your use of the Services and for reporting your transactions to tax authorities. Where the law requires, we will report information about you and your transactions to tax authorities, which may share it with the authorities of other countries.
10. Limits
We set limits on payouts and other operations, for example per transaction, per month and per currency. Limits can differ between personal and business profiles and between plans. Our standard limits are in the Price List, and the limits that apply to your profile are shown in the App. We may set lower limits for a profile, or for a type of operation, based on our risk assessment or our partners' requirements. You may ask us to raise your limits; we may agree subject to further verification.
11. Profiles and team access
11.1 Team Members
You can invite other people to your Account as Team Members, choose which of your profiles (personal or business) each of them can access, and give each a role, such as one that can make payments or a view-only role. The roles available, and what each can do, are described in the App. Granting or widening access may require your two-factor code.
11.2 Your responsibility
The holder of each profile is responsible for everything Team Members do in it, as if the holder had done it itself. You must:
- invite only people you trust and give each of them only the access they need;
- make sure each Team Member uses their own sign-in and does not share it;
- remove a Team Member's access promptly when it is no longer appropriate, for example when they leave the business.
11.3 Team Members' obligations
A Team Member must follow these Terms when using a profile. Team Members act for the profile's holder, not for themselves, and have no personal claim to its Balances.
11.4 Transfers between your profiles
You can move a Balance between profiles in your Account, in the same currency. Each profile belongs to its holder, so a transfer between a personal and a business profile, or between two businesses, is a payment from one holder to another, and you must be authorised to make it for both.
12. Exchange between your balances
12.1 Quotes
You can exchange between your Balances, for example from USD to EUR or from USDT to USD, where we support the pair. Before you confirm, the App shows a quote with the exchange rate, our fee and the exact amount you will receive. A quote is valid only for the time shown. Once you confirm a quote, the exchange is final.
12.2 How we set our rates
- Between fiat currencies (for example USD and EUR), our rate is based on the euro foreign exchange reference rates published by the European Central Bank. These rates are published once per business day and can differ from live market rates.
- Between a Stablecoin and its currency (for example USDT or USDC and USD), we treat the Stablecoin as equal to one unit of that currency.
- Between a Stablecoin and a different currency (for example USDT and EUR), we combine the two methods above.
- Our fee is added on top, as shown in the quote and the Price List.
12.3 When we may not quote
We are not obliged to offer an exchange at any particular time. We may stop offering quotes, change the way we calculate rates, or refuse to complete an exchange, including when markets are disrupted, when a Stablecoin trades materially away from its intended value, or when a rate was quoted because of an obvious error. If you confirmed an exchange at an obviously wrong rate, we may cancel or correct it and tell you.
13. Your security responsibilities
Your email account is the key to your Moneyspace account. You must:
- keep your email account and any authenticator app secure, and never share sign-in or two-factor codes with anyone, including anyone claiming to work for us;
- sign in only at https://app.moneyspace.io;
- tell us immediately at support@moneyspace.io if you suspect that someone else has accessed your account or your email, or if you see a transaction you do not recognise;
- review your transaction history regularly.
Our authorised staff may view your Account in a read-only mode, without notifying you, to provide support, investigate problems and meet our legal obligations. In this mode they cannot make payments or change your settings.
Our Fraud and Security Policy explains how we protect your account and what to do if something goes wrong.
14. Errors and unauthorised transactions
14.1 Tell us quickly
Tell us as soon as possible, and in any case within 60 days of the date it appears in your transaction history, about any transaction you did not authorise or that we carried out incorrectly. If you tell us later, we may not be able to help, unless the law that applies to you gives you a longer period.
14.2 What we will do
We will investigate and tell you the outcome. If a transaction was not authorised by you or a Team Member, or was carried out incorrectly because of our error, we will restore your Balance to what it would have been, unless:
- you or a Team Member acted fraudulently;
- you or a Team Member failed, intentionally or through gross negligence, to keep sign-in codes, your email account or your authenticator secure; or
- the loss resulted from incorrect details you gave us.
14.3 Mistaken credits
If we credit your Balance by mistake, you must not use that amount, and we may deduct it from your Balance. If you have already used it, you must repay it.
15. Prohibited use
You must not use the Services for any activity described in our Prohibited Jurisdictions and Activities policy, or for any purpose that is illegal, fraudulent or harmful to us, our partners or other people. You must not let anyone else use your account, except Team Members as permitted under section 11.
16. Holds, suspension and closure
16.1 When we may act
We may hold or refuse any transaction, limit or suspend any Service, or suspend or close your account or any profile, if we reasonably believe that:
- we must do so to comply with the law, a court order or a request from a competent authority, or our partners require us to;
- you have breached these Terms, including by giving us false information or not providing information we requested;
- your account is being used for fraud, money laundering, sanctions evasion or another prohibited activity, or by someone other than you;
- your account's security has been compromised;
- continuing to provide a Service would expose us or our partners to legal, regulatory or reputational risk;
- a partner we rely on stops providing a service that we need in order to serve you.
Where the law allows and it would not compromise security or an investigation, we will tell you what we are doing and why.
16.2 Closure by you
You can close your account, or any profile, at any time by writing to support@moneyspace.io from your registered email address. You can also archive a profile in the App once its Balances are zero. Before closure, you must withdraw your Balances. Closing does not cancel transactions that are already in progress or obligations you already owe us.
16.3 Closure by us
We may close your account or a profile for any reason by giving you at least 30 days' notice. We may close it immediately in the situations described in section 16.1.
16.4 Your balances after closure
After closure, we will pay your remaining Balances, less any amounts you owe us, to a bank account or wallet address in your name that we have verified, subject to completing any checks the law requires. We may not be able to pay to a third party or to a different currency or network. Where funds are subject to a freeze under sanctions law, a court order or a regulatory requirement, we will hold them as the law requires.
17. Dormant accounts and unclaimed funds
If your account has had no activity initiated by you for a long period, we may treat it as dormant, restrict it and try to contact you using the details we have. We do not currently charge a dormancy fee. If we cannot reach you and you do not claim your Balance, we will deal with it as the unclaimed property laws that apply require, which may include transferring it to a government authority, from which you or your heirs may be able to claim it. Before doing so, we will make reasonable efforts to contact you.
18. Death, incapacity and legal process
If we learn that an individual customer has died or lost legal capacity, we may freeze the account until we receive the documents we reasonably need, and then deal with the Balances as directed by a legally authorised representative. If we receive a court order, garnishment, seizure, freeze or similar legal process about your account, we will comply with it, and we are not responsible to you for doing so.
19. Risks you should understand
Using our Services involves risks, including the following. You should use our Services only if you understand and accept them.
- No deposit insurance. Your Balances are not insured or guaranteed by any government scheme.
- Our own failure. If we became insolvent, recovering your Balances could be delayed and, depending on the law that applies, you might not recover them in full.
- Stablecoin risk. Stablecoins are issued by private companies (for example, Circle issues USDC and EURC, and Tether issues USDT). A Stablecoin can lose its peg, its issuer can fail, suspend redemptions or freeze tokens, and its reserves may be insufficient. If you hold a Stablecoin Balance, its value follows that Stablecoin. Your USD and EUR Balances are amounts in those currencies that we owe you: such an event does not reduce them, but it could affect our ability to pay you, as described under "Our own failure" above.
- Partner risk. Bridge, banks, custody providers and other partners can fail, make mistakes, change their terms or stop serving us.
- Blockchain risk. Networks can be congested, attacked, forked or halted, and network fees can rise sharply. Transactions are irreversible.
- Exchange-rate risk. The value of one currency against another changes all the time. Reference rates may differ from live market rates.
- Regulatory risk. Laws on payments and digital assets are changing in many countries. New laws or decisions by authorities could limit or end some Services, or make them unavailable where you live.
- Fraud and scams. Fraudsters may try to trick you into sending money. Payments you authorise, including to a scammer, generally cannot be reversed.
- Technology risk. Our Services, or our partners' services, may be unavailable at times, for example during maintenance, outages or cyber attacks.
20. Availability of the Services
We work to keep the Services available and secure, but we do not promise that they will be uninterrupted or error-free. We may carry out maintenance, change features, or add and remove functions. We will give you reasonable notice of changes that significantly reduce the Services you use, unless we must make them quickly for legal, security or partner reasons.
21. Intellectual property
The Moneyspace name and logo, our website, the App and all related software, designs and content belong to us or our licensors. We give you a personal, non-exclusive, non-transferable and revocable licence to use the App and website for the purpose of using the Services under these Terms. You must not copy, modify, distribute, sell, reverse-engineer or create derivative works from them, or use our name or logo, without our written permission. If you send us ideas or feedback, we may use them freely without any obligation to you.
22. Third-party services
Our Services link to or depend on services provided by third parties, such as Bridge, banks, custody providers, Stablecoin issuers and blockchain networks. Their services are governed by their own terms. We are responsible to you for choosing and supervising the partners we use to provide our Services, but, except as stated in these Terms or required by law, we are not responsible for acts or failures of third parties that are outside our reasonable control.
23. Disclaimers
Except as expressly stated in these Terms, the Services are provided "as is" and "as available". To the extent the law allows, we make no other promises or warranties, express or implied, including about merchantability, fitness for a particular purpose or non-infringement. Nothing in this section affects rights that you cannot give up under the law that applies to you.
24. Limitation of liability
24.1 What we are not liable for
To the extent the law allows, we are not liable for:
- loss of profits, revenue, business, goodwill, opportunity or data, or any indirect, incidental, special, consequential or punitive loss;
- loss caused by your breach of these Terms, by incorrect instructions or details you gave us, or by your failure to keep your sign-in secure;
- loss caused by events beyond our reasonable control, such as failures of banks, payment systems, blockchain networks or Stablecoin issuers, acts of government, cyber attacks we could not reasonably prevent, natural disasters or war; this does not reduce our obligation in section 24.3 to pay you your Balances;
- loss caused by our compliance with the law, a court order or a request from a competent authority.
24.2 Our maximum liability
To the extent the law allows, our total liability to you for all claims arising out of or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, and (b) where the claim concerns a particular transaction, the amount of that transaction.
24.3 What we do not limit
Nothing in these Terms limits or excludes:
- our obligation to pay you the Balances we owe you;
- our liability for fraud, gross negligence or wilful misconduct;
- our liability for death or personal injury caused by our negligence;
- any liability or any right that cannot be limited or excluded under the law that applies to you, including your rights as a consumer.
25. Indemnity
If you use the Services for a business, the business will compensate us, and our directors, officers, employees and agents, for losses, claims, fines and reasonable costs (including legal fees) that arise from your breach of these Terms, your breach of any law, your fraud, or a claim by a third party relating to your use of the Services, except to the extent caused by our own breach or negligence. If you are an individual, this section applies only to the extent the law that applies to you allows.
26. Changes to these Terms
We may change these Terms. If a change is material and to your disadvantage, we will tell you by email or in the App at least 30 days before it takes effect. If you do not agree, you may close your account free of charge before the change takes effect. If you continue to use the Services after that date, you accept the change. We may make changes with less notice, or none, where they are required by law, are needed for security reasons, relate to a new Service, or do not disadvantage you. The current Terms are always available on our website, with the date they were last updated. Previous versions are available on request.
27. Notices and communications
We will communicate with you electronically, as described in our Electronic Communications and E-Sign Consent. Our legal documents and formal notices are in English; the App and some messages may be in the language you choose in the App. We will send notices to the email address you sign in with or, for matters about a profile, to the contact email address set for that profile, or show them in the App. A notice sent by email is treated as received on the day we send it, unless we receive a message that it could not be delivered. You must keep your email addresses up to date. Legal notices to us must be sent to legal@moneyspace.io; all other messages to support@moneyspace.io.
28. Governing law
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. If you are a consumer, you also keep the protection of any mandatory provisions of the law of the country or province where you live.
29. Complaints and disputes
29.1 Talk to us first

29.2 Courts
If a dispute cannot be resolved through our complaints procedure, it may be brought before the courts that have jurisdiction under the laws of the Province of Ontario and the federal laws of Canada applicable therein. If you are a consumer, you may also bring proceedings in the courts of the place where you live, if the law that applies to you gives you that right.
30. General
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to another company, for example as part of a reorganisation or sale of our business, provided that your rights are not reduced. We will tell you if this happens.
- Entire agreement. These Terms, together with the documents in section 3, are the entire agreement between you and us about the Services.
- Severability. If any part of these Terms is found to be invalid or unenforceable, the rest remains in effect.
- No waiver. If we do not enforce a right immediately, we can still enforce it later.
- Set-off. We may set off any amount you owe us against any Balance held by the same individual or business, to the extent the law allows.
- Survival. Sections that by their nature should continue after closure, including those on fees owed, liability, indemnity, governing law and disputes, survive the closure of your account.
- No third-party rights. Only you and we have rights under these Terms, except that the persons named in section 25 may rely on it.
- Relationship. Nothing in these Terms creates a partnership, joint venture, agency or trust between you and us, except where the law requires otherwise.
- Language. These Terms and our other legal documents are available only in English, including when you use the App in another language. By accepting them, you confirm that you understand them or have had the opportunity to obtain a translation. If we provide a translation, the English version applies in case of any difference.
